Welcome to Limosphere. These Terms and Conditions govern your corporate access to and commercial use of our dispatch, scheduling, and ground transportation management SaaS platform.
1. Definitions
The following terms apply throughout these Terms and Conditions.
1.1 "Services"
"Services" refers to all software, applications, APIs, dispatch systems, websites, booking tools, communication systems, and related services provided by Limosphere — including the web-based dashboard, driver and admin mobile apps, fleet management tools, and any future features released under the Limosphere brand.
1.2 "User"
"User" means any individual or entity accessing, registering for, or interacting with the Services in any capacity — whether as an administrator, dispatcher, chauffeur, or affiliate manager.
1.3 "Operator"
"Operator" refers to any limousine company, transportation provider, independent chauffeur, fleet operator, or affiliate business using the Services to manage or dispatch transportation services. Operators bear primary responsibility for all transportation operations conducted through the platform.
2. Eligibility
You must be at least 18 years old and legally capable of entering binding agreements to use the Services. If using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. The Services are intended strictly for commercial business use.
3. Software License
Subject to compliance with these Terms, Limosphere grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes.
3.1 Prohibited Activities
The following activities are strictly prohibited and may result in immediate account termination:
- Reverse engineering, decompiling, or attempting to extract the source code of any Limosphere software or mobile application.
- Attempting unauthorized access to any system, server, or restricted area of the platform.
- Reselling, sublicensing, or transferring access to the Services to any third party without prior written authorization.
- Disrupting platform operations through stress tests, denial-of-service attempts, or abusive API usage.
- Uploading or transmitting malicious code, viruses, or any harmful software into the platform.
- Copying or rebuilding any proprietary system, API, or core functionality to create a competing product.
4. User Accounts
Users are responsible for maintaining the security and accuracy of their accounts. Specifically, you agree to:
- Accuracy: Provide and maintain accurate, current account information at all times. False or misleading information is grounds for immediate termination.
- Credential Security: Safeguard all login credentials and not share them across independent operating companies or unauthorized individuals.
- Activity Liability: Take full responsibility for all actions performed under your account, whether authorized by you or not.
- Reporting: Promptly notify Limosphere at support@limosphere.com if you suspect unauthorized access or suspicious activity on your account.
5. Subscription & Billing
Certain Services require paid subscriptions. By activating a subscription, you agree to pay applicable fees, provide valid billing information, and keep your payment method up to date.
- Payment Processing: All fees are processed securely through Stripe. By subscribing, you also agree to Stripe's applicable terms of service.
- Non-Refundable Fees: All subscription fees, setup costs, and API usage charges are non-refundable unless otherwise explicitly stated in writing by Limosphere.
- Suspension for Non-Payment: Failure to settle outstanding balances may result in account suspension until full payment is received.
6. SMS Terms & Conditions
By opting into SMS communications from Limosphere, you agree to the following terms:
6.1 SMS Consent Communication
The information (Phone Numbers) obtained as part of the SMS consent process will not be shared with third parties for marketing purposes.
6.2 Types of SMS Communications
If you have consented to receive text messages from Limosphere, you may receive messages related to the following:
- Appointment reminders
- Follow-up messages
- Example: "Hello, this is a friendly reminder of your upcoming appointment with Dr. [Name] at [Location] on [Date] at [Time]. You can reply STOP to opt out of SMS messaging from Limosphere at any time."
6.3 Message Frequency
Message frequency may vary depending on the type of communication. For example, you may receive up to 2 SMS messages per week regarding your appointments or account status.
6.4 Potential Fees for SMS Messaging
Please note that standard message and data rates may apply, depending on your carrier’s pricing plan. These fees may vary if the message is sent domestically or internationally.
6.5 Opt-In Method
You may opt in to receive SMS messages from Limosphere by submitting an online form and explicitly checking the SMS consent box.
6.6 Opt-Out Method
You can opt out of receiving SMS messages at any time. To do so, simply reply "STOP" to any SMS message you receive. Alternatively, you can contact us directly to request removal from our messaging list.

6.8 Additional Options
If you do not wish to receive SMS messages, you can choose not to check the SMS consent box on our forms.
6.9 Standard Messaging Disclosures
Please be aware of the following standard disclosures:

- You can opt out at any time by texting "STOP."
- For assistance, text "HELP" or visit our Privacy Policy and Terms and Conditions pages.
- Message frequency may vary.
7. Transportation Responsibility
Limosphere is solely a software and technology platform provider. We do not own, operate, manage, or control any transportation companies, vehicles, chauffeurs, or ride operations. Transportation services are independently provided by Operators and affiliates. Limosphere does not guarantee ride availability, driver behavior, vehicle condition, transportation compliance, or timeliness of rides.
- Operator Obligations: Operators are solely responsible for maintaining proper insurance, licensing, chauffeur conduct, vehicle safety, passenger dispute resolution, and regulatory compliance in all jurisdictions where they operate.
8. GPS & Tracking Features
Certain Services use GPS and real-time location tracking for driver monitoring, fleet visibility, ETA calculations, dispatch coordination, and route optimization.
- Consent Responsibility: Operators are solely responsible for obtaining all legally required consents from drivers, employees, contractors, and passengers before enabling location tracking through the platform.
- Data Use: Location data is used exclusively for operational purposes. Limosphere does not use GPS data for advertising or profiling.
- Accuracy Disclaimer: Limosphere does not guarantee the precision or continuity of GPS data, which may be affected by device limitations or network conditions.
9. API & Integration Usage
Limosphere may provide API access and integrations with third-party services including Stripe and FlightAware AeroAPI. API access may be rate-limited, restricted, or modified without notice.
- Authorized Use: APIs must only be used for integrating with your internal systems or approved affiliate networks within the scope of your subscription.
- No Abuse or Scraping: You may not use Limosphere APIs to scrape platform data, conduct competitive intelligence, or replicate core platform functionality.
- Modification Rights: Limosphere reserves the right to modify, deprecate, or discontinue any API endpoint or integration at any time.
10. Data Ownership
You retain full ownership of all data you upload or generate through the Services, including passenger records, reservations, fleet configurations, and dispatch logs.
- Limited License to Limosphere: By using the Services, you grant Limosphere a limited license to process and store your data solely to operate and maintain the platform on your behalf. This license ends upon account closure.
- No Unauthorized Use: Limosphere will not use your identifiable business data for advertising, resale, or any purpose beyond delivering the Services.
- Anonymized Analytics: Limosphere may process aggregated, de-identified usage data to improve platform performance. This data cannot be traced back to any individual user.
11. Intellectual Property
All software, systems, branding, designs, APIs, logos, and proprietary technology are owned by Limosphere or its licensors. No ownership rights are transferred to users. Your use of the Services grants only a limited access license as described in Section 3.
12. Service Availability
We strive to maintain reliable Services but do not guarantee uninterrupted availability. Services may be affected by scheduled maintenance, third-party outages, internet failures, security incidents, or force majeure events. Limosphere is not liable for service interruptions caused by factors outside our direct control.
13. Limitation of Liability
To the maximum extent permitted by law, Limosphere shall not be liable for indirect damages, lost profits, passenger disputes, transportation incidents, data loss, business interruption, service outages, or driver disputes. In all cases, Limosphere's total liability shall not exceed the fees paid by you during the three (3) months immediately preceding the event giving rise to the claim.
14. Indemnification
You agree to indemnify and hold harmless Limosphere from any claims, damages, penalties, and legal costs arising from:
- Use of the Services in violation of these Terms or applicable law.
- Transportation operations, passenger disputes, or regulatory violations by you or your Operators.
- Data or content you upload to the platform that infringes third-party rights or violates applicable law.
- Misconduct, negligence, or fraud by you, your employees, contractors, or chauffeurs.
15. Confidentiality
You agree not to disclose confidential platform information — including source code, API specifications, pricing structures, software logic, database schemas, or proprietary systems — to any third party without prior written authorization from Limosphere. This obligation survives termination of these Terms.
- Authorized Use Only: Confidential information may only be used to access and operate the Services as permitted under these Terms.
- Exceptions: Confidentiality obligations do not apply to information that is publicly available, independently developed by you, or required to be disclosed by a valid court order — provided you give Limosphere prompt notice before disclosure.
16. Governing Law and Jurisdiction
These Terms, together with any operational claims or transactional disputes tied directly to the software services, shall be governed by, interpreted, and enforced in accordance with the laws of the jurisdiction where Limosphere is incorporated, without regard to conflicts of law frameworks.
17. Changes to Terms
We may update these Terms periodically to reflect changes in our Services, applicable laws, or business practices. Updated versions will be posted on this page with a revised Effective Date. Your continued use of the Services following any update constitutes your acceptance of the revised Terms.
